Registering a Company in China: Documents, Steps and Timeline for Founders in Dechang, Sichuan
A practical, non-promotional guide for foreign founders establishing a company in Dechang, Sichuan, covering the required documents, the registration sequence, and a realistic timeline.
Why Dechang, Sichuan?
Dechang County sits in Liangshan Yi Autonomous Prefecture in southern Sichuan, in a region known for its dry, sunny climate and agricultural output. For founders, the practical appeal is straightforward: land and operating costs in smaller Sichuan counties are often lower than in Chengdu, and local authorities in prefecture-level jurisdictions typically have dedicated investment service desks for new enterprises. That said, Dechang is not a free trade zone or a pilot e-commerce city, so the regulatory pathway is the standard national one, administered through the local Administration for Market Regulation (AMR) and, for foreign investment, the local commerce bureau.
This guide assumes you are a foreign founder or a foreign-invested enterprise (FIE) setting up a limited liability company (有限责任公司, LLC). It does not cover representative offices or branch structures.
First Decision: Entity Type and Scope
Before collecting documents, settle three questions with your Chinese counsel or the local service desk:
- Entity type. A wholly foreign-owned enterprise (WFOE) is the most common choice for founders who want full control. A Sino-foreign joint venture may be required in restricted sectors listed in the national Negative List for Foreign Investment Access.
- Business scope. Your registered scope (经营范围) determines which additional licences you need. Keep it specific; overly broad scopes invite scrutiny.
- Registered capital. Under China's Company Law, subscribed capital and contribution deadlines must be stated in the Articles of Association. Since the 2023 revision of the Company Law, LLC shareholders generally must pay in subscribed capital within five years of establishment, so choose an amount you can realistically fund.
Check whether your activity appears on the Negative List. If it does not, foreign investment in most sectors now follows a filing (备案) rather than an approval (核准) route, handled through the national foreign investment reporting system.
Documents You Will Need
Requirements vary slightly by locality, but for a WFOE in Dechang expect to prepare the following. All foreign-language documents need Chinese translations, and foreign corporate or personal documents generally require notarisation and, where applicable, consular legalisation or an apostille under the Hague Apostille Convention, which China joined in November 2023.
Corporate and shareholder documents
- Passport copies of all foreign shareholders and the proposed legal representative.
- If the shareholder is a foreign company: certificate of incorporation, notarised and legalised, plus the board resolution authorising the investment.
- Notarised proof of the shareholder's registered address.
Formation documents
- Articles of Association (公司章程) in Chinese.
- Name pre-approval application (企业名称自主申报), submitted through the Sichuan provincial enterprise registration system.
- Application form for establishment registration, signed by the legal representative.
- Proof of registered address in Dechang: a lease contract plus the landlord's property certificate, or a certificate from a local business incubator or industrial park if you use a virtual or shared address.
- Appointment documents for directors, supervisors (or the audit committee, if adopted) and the legal representative.
- Foreign investment information reporting form, filed through the commerce ministry's system.
Post-registration items
- Company chop (公章), financial chop and legal representative chop, carved at a licensed chop-making shop with police registration.
- Bank account opening documents, including the business licence and chop set.
- Tax registration and invoice (发票) application through the electronic tax bureau.
- Social insurance and housing fund registration if you hire staff.
The Registration Sequence, Step by Step
The process is largely sequential, though some steps can overlap.
Step 1: Name pre-approval
Submit proposed names through the Sichuan enterprise registration platform. Names must follow the national naming rules and must not conflict with existing registrations. Allow a few working days; rejections are common on the first attempt, so prepare two or three alternatives.
Step 2: Address and lease
Secure premises and obtain the lease and property documentation. If you are not yet on the ground, a serviced office or park address in Dechang can bridge the gap, but confirm with the AMR that the address is acceptable for your business scope.
Step 3: Foreign investment filing
File the foreign investment information report through the national system. For non-restricted sectors this is a filing, not an approval, but it must be completed before or alongside establishment registration.
Step 4: Establishment registration
Submit the full document package to the Dechang AMR or the Liangshan prefecture-level window, depending on where jurisdiction sits for your address. Once accepted, the business licence (营业执照) is typically issued within a few working days. The licence carries a unified social credit code used for all subsequent registrations.
Step 5: Chops and bank account
Carve chops, then open a basic RMB account and, if needed, a foreign currency capital account. Bank onboarding for FIEs can take one to three weeks depending on the bank's enhanced due diligence on foreign shareholders.
Step 6: Tax and payroll registration
Register with the tax authority, complete the taxpayer classification, and set up invoicing. If you hire, register for social insurance and the housing provident fund. Engage a local bookkeeper from day one; monthly filing obligations begin immediately.
Realistic Timeline
Assuming documents are complete and the business scope is unrestricted, founders commonly see the following:
- Name pre-approval: 1–5 working days.
- Notarisation and legalisation of foreign documents: 2–6 weeks, often the longest lead item. Start this first.
- Foreign investment filing: a few working days once the package is ready.
- Business licence issuance: roughly 3–10 working days after acceptance.
- Chops, bank account, tax set-up: a further 2–4 weeks.
In practice, a well-prepared WFOE can be operational in six to ten weeks from the decision to proceed, with document legalisation usually the critical path. Sector-specific licences, such as food, education or logistics permits, add time and should be mapped before you commit to an address.
Practical Notes for Dechang
Local service desks in smaller Sichuan counties are often helpful with procedural questions but less experienced with complex foreign shareholding structures. Where your structure involves multiple offshore layers or a joint venture, budget for experienced counsel in Chengdu. Confirm current local requirements directly with the Dechang AMR before submitting, as document checklists and address rules are administered locally and can change.
